What you're agreeing to.
The contract behind an order — pricing, delivery, warranty, and where our responsibility ends and yours begins. Written to be read, not to be survived.
These terms are for business buyers. We sell industrial machinery to companies, not to consumers. By placing an order you confirm you're buying in the course of a business, and consumer protection rules that would apply to a private purchase don't apply here.
Everything below is the contract between us. It's worth ten minutes before a five-figure order, particularly sections 12 and 13 — the two that decide who is responsible for the machine once it's part of your line.
These terms and who they bind
These terms apply to every order placed through this site. They replace anything said in correspondence, on a call, or in an earlier version of this page, unless we've both signed something that says otherwise.
If your purchase order carries its own terms, they don't override these. We're not accepting them by shipping against your PO.
How an order becomes a contract
Placing an order is an offer to buy. Nothing is binding on us until we send an order confirmation. That's the point the contract forms, and the confirmation is the definitive record of what you bought.
We can decline an order. That happens rarely — a pricing error, a product that's no longer available, an export restriction, or a delivery address we can't reach. If we decline, you're refunded in full and promptly.
Prices
Prices are shown in USD on the listing and cover the machine only. Freight, duty, import taxes and any local charges are separate — see sections 5 and 6.
We work hard to keep prices accurate. If a listing carries an obvious error and you order against it, we'll tell you before we take payment and you can confirm at the corrected price or cancel. We won't quietly ship at the wrong price and argue about it later.
The price is fixed once your order is confirmed. Later changes to list price don't affect an order already placed.

Card payment is processed by our payment provider. We never receive or store your card number.
Where we've agreed purchase order terms in advance, payment falls due on the agreed date. Overdue amounts accrue interest at the statutory rate, and we may hold further dispatches until the account is clear.
Delivery
Machines ship crated by freight, not by courier. Freight is quoted per order once we know the delivery address and what's available on site to unload.

Dates we give are estimates made in good faith, not guarantees. We'll tell you as soon as we know if something is going to slip. Delay doesn't entitle you to cancel a confirmed order unless it becomes unreasonable and we've failed to remedy it after written notice.
If nobody is available at a booked delivery slot, re-delivery and any storage are charged at cost. Address changes are free before dispatch; after collection the carrier charges for a re-route.
Orders for several machines may ship separately depending on availability. We'll tell you before dispatch, and it doesn't change the freight you were quoted.
Duty, taxes and customs
On cross-border orders you are the importer of record. Import duty, VAT or local sales tax, customs brokerage and any inspection charges are payable by you, directly to your authorities, and are not included in either the product price or the freight quote.
We supply accurate commercial documentation with every shipment. Customs may hold a shipment for inspection; that time sits outside any date we've quoted and isn't something we can compress.
If an import licence or permit is required for industrial equipment where you are, obtaining it is your responsibility. Ask us before ordering and we'll tell you what we know.
Risk and ownership
Risk passes to you on delivery — once the crate is off the truck and signed for, it's yours to look after. Everything in transit is insured for full value, and that's included in the freight quote.
Ownership passes when we've received payment in full, including freight. Until then the machine remains ours, and where we've extended payment terms we may recover it if payment isn't made.
Inspection and damage on arrival
Note any visible damage on the delivery paperwork before you sign. A clean signature makes a freight claim very difficult to pursue — for us as much as for you.
Photograph the crate on the truck and again on the ground. Then sign, note the damage, and email us.
Report damage or shortages within 48 hours of delivery, with photographs and the signed delivery note. We handle the carrier claim and arrange the replacement or repair — you don't deal with the carrier.
Concealed damage found on unpacking should be reported as soon as you find it, and within seven days. Keep the crate and packing materials until the claim is settled; carriers routinely ask to inspect them.
Don't refuse a delivery unless the crate is obviously destroyed. Refusal usually makes the situation slower and more expensive to resolve.
Specifications and descriptions
Specifications published on this site come from the manufacturer. We reproduce them accurately and we don't embellish them, but we don't independently verify every figure and we can't guarantee a manufacturer's data.
Published payload, reach, repeatability and cycle figures are measured under the manufacturer's stated test conditions. Real performance in your cell depends on tooling, load offset, path and what the machine is waiting on. Section 12 covers who decides whether a machine suits an application.
Photographs are illustrative. Where a listing shows a gripper, tool changer, mounting plate or safety equipment, those are separate items unless the listing explicitly includes them.
Manufacturers revise products. We may supply a superseded or updated version where the change doesn't materially reduce specification or fitness for the stated purpose.

Remedy under warranty is repair, replacement or refund, at our option and the manufacturer's. Return freight for a warranty claim is arranged by us.
The warranty doesn't cover machines that have been dismantled, re-manufactured, or operated outside their published environmental and duty limits. It also doesn't cover the cost of removing a machine from your line or reinstalling it.
Where a manufacturer offers a longer or broader warranty than this, you get the benefit of it. Where a manufacturer's warranty is shorter, the listing will say so and that period applies.
Returns and cancellation
You can cancel a confirmed order without charge at any point before it's dispatched. After dispatch, cancellation is a return.
Returns of correctly supplied, undamaged machines are at our discretion and, where accepted, are subject to:
- Return within 14 days of delivery, agreed with us in writing first
- The machine unused, uninstalled, and in its original crate
- Return freight and insurance paid by you
- A restocking charge where the manufacturer applies one to us
We can't accept returns of machines that have been installed, commissioned, modified, or ordered to a specification requested by you.
None of this limits your rights where a machine is faulty, misdescribed, or not what you ordered. Those are our problem, not yours.
Installation, safety and conformity
An industrial robot is not a finished machine. On its own it can't be operated safely or lawfully — it becomes safe as part of a designed installation with guarding, interlocks, emergency stops and a risk assessment appropriate to what it's doing.
We supply the machine. We don't design your cell, install it, commission it, assess its safety, or declare conformity for the completed installation. Those are yours, or your integrator's.
Specifically, you are responsible for:
- Risk assessment of the installation and its intended use
- Guarding, safety devices, interlocks and emergency stops
- Conformity assessment and marking of the completed machinery or line, under whatever regime applies where you are
- Compliance with local workplace safety and electrical regulation
- Operator training and safe working procedures
Where a machine is supplied as partly completed machinery, the manufacturer's declaration of incorporation is provided with it. It is not a declaration of conformity for your finished installation.
Advice we give before purchase — on whether a machine suits an application, on payload, reach or interfaces — is given in good faith to help you decide. It isn't an engineering sign-off and it doesn't transfer responsibility for the design of your installation to us. The final judgement on suitability is yours.
Export control and end use
Robotics and automation equipment can be subject to export control and sanctions rules. By ordering you confirm that:
- You aren't subject to sanctions, and aren't acting for anyone who is
- The equipment is for lawful commercial or research use
- It won't be used in the development or production of weapons, or for any military end use requiring a licence you don't hold
- You won't re-export it in breach of applicable controls
We may decline or cancel an order, before or after confirmation, where we believe an export control or sanctions issue applies. If that happens you're refunded in full.
Software, firmware and intellectual property
Software and firmware supplied with a machine are licensed by the manufacturer, not sold, and their licence terms apply. Nothing in this contract transfers intellectual property in them to you.
Manuals, datasheets and documentation are supplied for operating the machine. You can copy them internally for that purpose.
Content on this site — our written specifications, comparisons, guides and photography — is ours. Please don't republish it commercially without asking.
Limitation of liability
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't lawfully be limited.
Subject to that, and because these are business-to-business sales:
- Our total liability for any order is limited to the price paid for the machine that gave rise to the claim.
- We aren't liable for indirect or consequential loss — including lost production, lost profit, downtime, wasted management time, or the cost of substitute equipment.
- We aren't liable for loss arising from installation, integration, programming, safety design or operation of a machine once delivered.
This allocation of risk is reflected in the price. If you need broader cover, insure it or tell us before ordering and we'll see what's possible.
Events outside anyone's control
Neither of us is liable for failing to perform because of something genuinely outside our control — carrier disruption, customs action, manufacturer supply failure, natural events, industrial action, conflict, or restrictions imposed by a government.
If that happens we'll tell you promptly and work out a revised date. If it lasts more than 60 days, either of us can cancel the affected order and you're refunded for anything undelivered.
Your data
We handle personal data as described in our privacy policy. In short: what we need to fulfil your order and answer you, shared only with the suppliers who make that possible, never sold.
If something goes wrong
Tell us first. Email sales@factoryrobots.net with your order number and what's happened. Most problems are resolved faster by a conversation than by a process.
If we can't resolve it between us, both of us should try mediation before starting proceedings. Neither of us is prevented from seeking an urgent injunction where one is genuinely needed.
General
If any part of these terms turns out to be unenforceable, the rest still stands. Not enforcing something once doesn't waive our right to enforce it later.
You can't transfer your rights under an order without our written agreement. We may transfer ours if the business is sold, and your rights aren't affected.
Nobody outside this contract has rights under it.
We may change these terms. The version published when you place an order is the version that governs it, which is why the date at the top matters.
Governing law
These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
The UN Convention on Contracts for the International Sale of Goods does not apply.
